THE TRTBOSS PLATFORM IS NOT DESIGNED FOR EMERGENCY OR URGENT MEDICAL CARE. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY DEPARTMENT IMMEDIATELY.

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the TRTBOSS technology platform, including associated websites, mobile applications, patient portals, and related services (collectively, the “Platform”), which are operated by VALKORA LLC, a Texas limited liability company, doing business as TRTBOSS (“TRTBOSS,” “we,” “us,” or “our”).

By clicking “I Agree,” “Continue,” or similar affirmative mechanism, or by otherwise accessing or using the Platform, you acknowledge that you have read, understand, and agree to be bound by these Terms, together with all policies expressly incorporated by reference.

If you do not agree, you must not access or use the Platform.

2. Platform Role and Corporate Practice of Medicine Disclosure

TRTBOSS is a non-clinical technology company and management services organization (MSO).

The Platform is designed to facilitate administrative, technical, and operational services that support access to healthcare services provided by independent, licensed healthcare professionals (“Clinicians”).

TRTBOSS:

Does not provide medical, pharmacy, or laboratory services

Does not practice medicine

Does not make clinical decisions

Does not control or direct the professional judgment of any Clinician

All medical evaluations, diagnoses, treatment recommendations, prescribing decisions, and patient care services are performed solely by independent Clinicians, in accordance with applicable law and professional standards.

3. Eligibility

The Platform is intended only for adults eighteen (18) years of age or older who are physically located in the United States.

By using the Platform, you represent and warrant that:

You are at least 18 years old

You are located in a state where the treating Clinician is licensed or otherwise authorized

You will accurately disclose your physical location at each encounter

4. Account Registration and Security

To access certain features, you may be required to create an account.

You agree to:

Provide accurate, current, and complete information

Maintain the confidentiality of your credentials

Promptly notify TRTBOSS of unauthorized access

Accept responsibility for all activity under your account

TRTBOSS may suspend or terminate access for violations of these Terms or applicable law.

5. Telehealth Services and Clinical Disclaimers

Healthcare services accessed through the Platform may be provided via synchronous or asynchronous telehealth modalities, subject to Clinician availability, licensure, and clinical appropriateness.

You acknowledge that:

Use of the Platform does not guarantee diagnosis, treatment, or prescription

Telehealth is not appropriate for all conditions

A physical examination may not be possible

Continuity of care may be limited due to the virtual nature of services

Telehealth services are governed by:

The Telehealth Informed Consent

Any applicable treatment-specific informed consent

Independent clinical judgment of the treating Clinician

6. Emergency and Urgent Care Disclaimer

The Platform is not intended for emergency or urgent care, crisis intervention, or continuous monitoring.

You must not rely on the Platform for time-sensitive or emergent conditions.
If an emergency arises, seek immediate in-person care.

7. User Responsibilities

You agree to:

Use the Platform only for lawful purposes

Provide truthful, complete, and accurate information

Follow Clinician instructions and treatment plans

Not use the Platform for emergency care

Not interfere with Platform security or functionality

You are solely responsible for your interactions with Clinicians and third-party providers.

8. Fees, Payments, and Subscriptions

8.1 Payment Facilitation

TRTBOSS facilitates payment collection on behalf of independent Clinicians, pharmacies, and laboratories.

Fees may be presented as a consolidated amount for convenience and may include:

Clinician consultation fees

Laboratory services

Pharmacy-related services

Platform administrative services

TRTBOSS does not determine clinical pricing or influence prescribing decisions.

8.2 Clinical Eligibility and Charges

If a Clinician determines you are not clinically eligible:

You will not be charged for medications not prescribed or dispensed

You will be charged only for services actually provided or incurred.

Costs incurred for lab results and clinical consultations once completed are non-refundable.

Clinical eligibility determinations are made solely by Clinicians.

8.3 Prescription Medications

Once a prescription medication has been dispensed or shipped by a pharmacy, refunds are not available, except where required by law.

Pharmacy dispensing decisions are made by independent pharmacies, not TRTBOSS.

8.4 Subscriptions and Auto-Renewal

Certain services are offered on an auto-renewing subscription basis.

Subscription terms including:

Amount

Billing frequency

Renewal terms

Cancellation requirements are clearly disclosed prior to enrollment and governed by the Refund & Auto-Billing Policy, which is incorporated by reference.

Customers must use and provide a standard credit (not prepaid credit card) to be eligible for subscription services. For customers using a prepaid credit cards, the term of the service must be prepaid.

9. Privacy and Health Information

Personal information collected by TRTBOSS is governed by the Privacy Policy.

Health information that constitutes Protected Health Information (PHI) is governed by:

The applicable healthcare provider’s Notice of Privacy Practices

The Health Insurance Portability and Accountability Act (HIPAA)

10. Intellectual Property

The Platform and all related content are owned by or licensed to TRTBOSS and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use.

11. Prohibited Conduct

You may not:

Violate applicable law

Misrepresent identity or health information

Access another user’s account

Scrape or extract data

Use the Platform for unauthorized advertising

12. Third-Party Services

The Platform may integrate with third-party services, including Clinicians, pharmacies, laboratories, and payment processors.

TRTBOSS does not control and is not responsible for third-party services.

13. Suspension and Termination

TRTBOSS may suspend or terminate access for violations of these Terms, security concerns, or unlawful conduct.

Certain provisions survive termination.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRTBOSS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRTBOSS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TRTBOSS’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU TO TRTBOSS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Arbitration and Class Action Waiver

Any dispute arising out of or relating to the Platform or these Terms will be resolved by binding arbitration on an individual basis, governed by the Federal Arbitration Act.

Excluded from arbitration:

Medical malpractice or professional negligence claims against Clinicians

Claims regarding clinical treatment outcomes

No class actions or representative proceedings are permitted.

You may opt out of arbitration within 30 days of first accepting these Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law applies.

18. Changes to These Terms

TRTBOSS may update these Terms from time to time. Continued use after changes constitutes acceptance.

20. Severability and Entire Agreement

If any provision is unenforceable, the remaining provisions remain in effect.

These Terms, together with incorporated policies, constitute the entire agreement governing use of the Platform.
